Hey Jim,
The upgrade is supposed to clear up some type of security flaw. But I dislike the back end of WP enough to take the chance of not upgrading and just keep a regular backup etc.

Well, in the end, nobody can tell my why should I bother upgrading. Safety? As long as I use Inspector Wordpress, Login safety plugins and export the XML snapshot regularly, I feel safe enough. It's just I know many guys still running on 2.3.3. (I am one of them) without problems. It is a stable and straightforward version of WordPress and I like it. The time I save avoiding the upgrade, I can spend on writing - isn't it the core function of any blogger?
